Terms of Service

The terms governing access to and use of Metrici websites, software, hardware, products, services and demonstrations.

These Terms of Service ("Terms") govern the access to and use of the websites, software, hardware, products, services, documentation, demonstrations and professional services provided by Metrici AI Solutions SRL ("Metrici", "we", "us" or "our").

By accessing the Metrici website, purchasing or using Metrici software or hardware, requesting a demonstration, or using Metrici services, you acknowledge that you have read and understood these Terms and agree to be bound by them to the extent applicable.

For commercial customers, these Terms are intended to operate together with applicable quotations, purchase orders, invoices, product specifications, software documentation, service agreements, statements of work and other written agreements between Metrici and the Customer.

Where a specific written agreement expressly conflicts with these Terms, the specific written agreement shall prevail for the relevant transaction.

1.About Metrici

Metrici AI Solutions SRL is a Romanian technology company developing and providing software and hardware solutions based on Artificial Intelligence, computer vision, video analytics, automation and related technologies.

Metrici products and services may include, among others:

  • AI and computer vision software;
  • license plate recognition (LPR);
  • video analytics;
  • object and event recognition;
  • parking and access control solutions;
  • smart parking terminals;
  • payment and access terminals;
  • hardware controllers and interfaces;
  • LED displays and related equipment;
  • traffic and parking management systems;
  • customized software and AI solutions;
  • integrations with third-party hardware and software;
  • technical support and professional services.

The exact functionality, configuration and commercial conditions of each product are determined by the applicable product documentation, quotation, order or agreement.

2.Definitions

For these Terms:

  • "Customer" means the person, company, organization or other legal entity purchasing or using Metrici products or services.
  • "Software" means software applications, modules, AI models, algorithms, firmware where applicable, interfaces and other software components developed or supplied by Metrici.
  • "Hardware" means physical equipment supplied by Metrici, including controllers, terminals, displays and other equipment.
  • "Product" means any Metrici software, hardware or combined solution.
  • "Services" means professional services, installation, configuration, integration, consulting, support, maintenance, training, customization or other services provided by Metrici.
  • "Customer Data" means data, images, video, license plate information, configurations, databases, documents or other information supplied by or processed on behalf of the Customer through a Metrici solution.
  • "Upgrade" means a newer software release, version, update, improvement, enhancement, bug fix or other software release made available by Metrici.

3.Website Use

The Metrici website is provided primarily for informational and commercial purposes.

You may access and use the website for lawful purposes and in accordance with these Terms.

You must not:

  • use the website for unlawful purposes;
  • attempt to gain unauthorized access to the website or its systems;
  • interfere with website operation or security;
  • introduce malware or other harmful code;
  • copy, reproduce or redistribute substantial portions of the website without authorization;
  • use automated systems to access the website in a manner that could adversely affect its operation;
  • impersonate Metrici or another person or organization;
  • use website content to create misleading representations concerning Metrici or its products.

Metrici may modify, suspend or discontinue portions of the website at any time.

4.Product Information

Metrici makes reasonable efforts to ensure that product descriptions, specifications, images, technical information and other information published on its website are accurate and current.

However, product specifications may change as a result of technical development, product improvements, availability of components, regulatory requirements or other circumstances.

Website information does not constitute a binding technical specification unless expressly incorporated into a written agreement, quotation or order.

The final configuration, functionality and technical specifications of a product shall be those agreed with the Customer in the applicable commercial documentation.

5.Software Purchase, Ownership and Perpetual Use

5.1. Software Is Sold, Not Leased

Unless expressly agreed otherwise in writing, Metrici software products are sold to the Customer.

The purchase of Metrici software is not a lease, rental or subscription to the underlying software.

Upon payment of the applicable purchase price, the Customer obtains a perpetual right to use the purchased software version, subject to the applicable product configuration, technical limitations, documentation and these Terms.

The Customer's right to use a purchased software version does not expire merely because the Customer does not purchase subsequent upgrades.

5.2. No Automatic Expiration

A Customer that has purchased a Metrici software product may continue using the purchased version for the lifetime of that version, even if the Customer chooses not to purchase further upgrades.

Metrici will not require the Customer to renew a software subscription merely to continue using a previously purchased version, unless a specific product was expressly sold under different written terms.

5.3. Intellectual Property

The purchase of software does not transfer Metrici's underlying intellectual property rights.

Metrici retains all rights, title and interest in and to:

  • source code;
  • algorithms;
  • AI models;
  • machine-learning technology;
  • software architecture;
  • databases and development tools;
  • documentation;
  • trademarks;
  • copyrights;
  • patents and patentable inventions;
  • know-how;
  • methodologies;
  • generic software components; and
  • other intellectual property belonging to Metrici.

The Customer's purchase gives it the perpetual right to use the purchased software version. It does not transfer ownership of Metrici's underlying intellectual property.

5.4. Included Upgrade Period

Unless otherwise stated in the applicable quotation or agreement, the purchase of a Metrici software product includes one (1) year of software upgrades beginning on the applicable purchase, delivery or activation date.

During this period, Metrici may provide newer versions, improvements, bug fixes, security updates and other releases made available for the relevant product.

The exact scope of included upgrades may depend on the product and applicable commercial agreement.

5.5. Optional Paid Upgrades After One Year

After the initial one-year upgrade period, the Customer may choose whether to purchase or renew an upgrade entitlement.

The Customer is not required to purchase further upgrades in order to continue using the software version already purchased.

If the Customer chooses not to purchase further upgrades, it may continue using its existing purchased version indefinitely, subject to these Terms and the applicable purchased configuration.

If the Customer chooses to remain on an older version, Metrici is not necessarily required to provide that version with features, integrations, security improvements, technical support or compatibility with subsequently released technologies that were not available for that version.

5.6. New Versions and Additional Modules

New major versions, additional modules, substantially expanded functionality or separately developed products may require an additional purchase.

Ownership or perpetual use rights relating to an earlier purchased version do not automatically include:

  • newly developed modules;
  • products purchased separately;
  • new functionality introduced after the applicable upgrade entitlement;
  • additional cameras, channels, sites or installations;
  • separately priced integrations; or
  • other functionality expressly identified as an additional product or service.

5.7. No Forced Upgrade

Metrici will not require a Customer to purchase a newer software version solely because a newer version has been released.

The Customer may choose to remain on its existing purchased version.

5.8. Installation and Configuration Limits

A perpetual right to use purchased software does not necessarily mean unlimited deployment.

The applicable purchase may define technical or commercial limitations such as:

  • number of cameras;
  • number of video channels;
  • number of sites;
  • number of installations;
  • number of servers;
  • number of users;
  • supported hardware;
  • specific modules;
  • processing capacity;
  • authorized operating environments; or
  • other parameters.

These limitations define the scope of the purchased product and do not turn the software into a subscription.

5.9. Source Code

Unless expressly agreed otherwise in writing, the purchase of Metrici software does not include delivery or transfer of source code.

The Customer may not reverse engineer, decompile, disassemble or otherwise attempt to obtain source code except to the extent such restriction is prohibited by mandatory applicable law.

6.Software Restrictions

Unless expressly permitted by Metrici or applicable law, the Customer must not:

  • resell Metrici software as a standalone product;
  • sublicense the software;
  • distribute copies of the software to unauthorized third parties;
  • remove copyright, trademark or proprietary notices;
  • circumvent technical protection mechanisms;
  • bypass applicable installation or usage limitations;
  • use the software beyond the purchased configuration;
  • modify the software in a manner that compromises its operation or security;
  • attempt to extract source code, AI models or proprietary algorithms;
  • use Metrici software to develop a competing product by unauthorized extraction or replication of Metrici technology.

These restrictions do not affect the Customer's perpetual right to use the purchased software version.

7.AI, Computer Vision and Recognition Technology

Metrici products may use Artificial Intelligence, computer vision, machine learning, video analytics, image processing, license plate recognition and other automated technologies.

Recognition and detection performance depends on factors including:

  • camera quality;
  • camera positioning;
  • lighting;
  • weather;
  • image resolution;
  • vehicle speed;
  • viewing angle;
  • license plate condition;
  • obstruction or contamination;
  • environmental conditions;
  • network and processing infrastructure;
  • software configuration; and
  • the specific application environment.

Accordingly, automated detection or recognition systems cannot be guaranteed to achieve 100% accuracy in every operating environment.

Metrici will provide the functionality and performance specifications expressly agreed for the applicable product or project.

8.Customer Responsibilities

The Customer is responsible for ensuring that its deployment of Metrici products is appropriate for its intended use.

The Customer is responsible for:

  • providing suitable infrastructure;
  • ensuring appropriate camera positioning and installation;
  • maintaining required network connectivity;
  • configuring access rules and permissions;
  • configuring parking tariffs and business rules;
  • maintaining authorized-user lists where applicable;
  • ensuring the accuracy of Customer-provided data;
  • maintaining suitable operating conditions;
  • securing its systems and credentials;
  • complying with applicable laws and regulations; and
  • ensuring that its use of Metrici technology is lawful.

Where Metrici performs installation or configuration services, the scope of Metrici's responsibility shall be determined by the applicable agreement.

9.Customer Data

The Customer retains its rights in Customer Data.

Metrici does not acquire ownership of Customer Data merely because such data is processed by Metrici software or systems.

The Customer is responsible for ensuring that it has the necessary rights, permissions and legal bases to collect, process and use Customer Data.

Metrici may process Customer Data as necessary to provide contracted services, support, maintenance, troubleshooting, security and other agreed activities.

10.Data Protection and Privacy

Where Metrici processes personal data on behalf of a Customer, the parties shall determine their respective roles under applicable data protection legislation.

Depending on the deployment, the Customer may act as data controller and Metrici may act as data processor or service provider.

The parties may enter into a separate Data Processing Agreement where required.

Metrici's handling of personal data in connection with its own website and business operations is governed by the Metrici Privacy Policy.

Nothing in these Terms removes or limits rights granted to individuals under applicable data protection legislation.

11.Customer Infrastructure and Data Location

Metrici solutions may be deployed:

  • on Customer-owned infrastructure;
  • on Customer-controlled servers;
  • in a private cloud;
  • in a Customer-managed virtual environment;
  • on dedicated hardware; or
  • in another environment agreed between the parties.

Where software operates on Customer-controlled infrastructure, the Customer is generally responsible for the security, availability, backup and maintenance of that infrastructure unless Metrici has expressly assumed those responsibilities under a separate agreement.

12.Hardware

Where Metrici sells hardware, ownership of the hardware transfers to the Customer according to the applicable commercial terms, normally upon fulfillment of the applicable payment and delivery conditions.

Hardware may include controllers, terminals, displays, payment terminals, access terminals and other equipment.

Hardware specifications may change due to component availability, technological development or product improvements.

Hardware warranty conditions are governed by the applicable quotation, order, warranty document or agreement.

13.Third-Party Hardware and Systems

Metrici products may integrate with third-party:

  • cameras;
  • barriers;
  • payment devices;
  • access control systems;
  • RFID/Wiegand systems;
  • printers;
  • displays;
  • servers;
  • network equipment;
  • operating systems;
  • payment processors; or
  • other hardware and software.

Metrici does not control third-party products and cannot guarantee their continued availability, compatibility, functionality or commercial terms.

Where an integration is expressly supported by Metrici, the supported configuration may be subject to technical requirements specified by Metrici.

14.Parking, Access Control and Payment Systems

Metrici provides technology that may support automated parking, access control, vehicle identification, payment and related processes.

Depending on the configuration, systems may include:

  • license plate recognition;
  • entry terminals;
  • payment terminals;
  • virtual tickets or QR codes;
  • contactless payment;
  • access control;
  • barriers;
  • parking tariffs;
  • tenant or group access;
  • whitelist and blacklist functionality;
  • grace periods;
  • anti-passback;
  • event logging;
  • reporting;
  • remote monitoring; and
  • integrations with third-party systems.

Metrici provides the technology enabling these processes. The Customer remains responsible for defining and operating its business rules, tariffs, access policies and legal requirements.

15.Payment Processing

Where Metrici products support payment functionality, payment processing may involve third-party payment service providers.

Metrici is not necessarily the payment processor, merchant of record or financial institution.

The Customer is responsible for selecting appropriate payment services and complying with applicable financial, tax, accounting and payment regulations.

Third-party payment services are subject to the terms and policies of the relevant provider.

16.Demonstration and Evaluation Software

Metrici may provide demonstration or evaluation versions of its software.

Unless otherwise agreed, demonstration software is provided for evaluation purposes only and may be subject to a limited evaluation period.

Current demonstration programs may, for example, provide access for a period of up to 30 days, depending on the applicable product and offer.

Evaluation software may have technical, functional or usage limitations and may not be suitable for production use.

After the applicable evaluation period, the Customer must discontinue use unless it has acquired the applicable commercial product or received written authorization from Metrici.

17.Software Updates and Upgrades

The Customer's initial software purchase includes the upgrade period described in Section 5 unless otherwise agreed.

Metrici may release:

  • bug fixes;
  • security updates;
  • performance improvements;
  • feature updates;
  • compatibility updates;
  • new versions; or
  • other software improvements.

After the included upgrade period, access to subsequent upgrades may require payment of the applicable upgrade fee.

A Customer may elect not to upgrade and may continue using its purchased version.

Metrici does not guarantee that every future version will remain compatible with every historical hardware configuration, operating system, third-party integration or infrastructure.

18.Technical Support and Maintenance

Technical support, maintenance and service levels may be included in a separate agreement or commercial package.

Unless expressly agreed otherwise, the perpetual purchase of software does not automatically mean that unlimited technical support or maintenance services are provided indefinitely without charge.

Support may include, depending on the applicable agreement:

  • troubleshooting;
  • configuration assistance;
  • software installation;
  • upgrade assistance;
  • remote support;
  • documentation;
  • technical consultation; or
  • on-site services.

Support conditions, response times and fees may be defined separately.

19.Professional Services

Metrici may provide:

  • installation;
  • configuration;
  • integration;
  • customization;
  • consulting;
  • technical design;
  • training;
  • commissioning;
  • project management;
  • maintenance; and
  • other professional services.

The scope, deliverables, fees, deadlines and acceptance criteria for such services may be defined in a separate quotation, statement of work or agreement.

20.Custom Development

Where Metrici develops customized software, integrations or AI functionality for a Customer, ownership and usage rights shall be determined by the applicable agreement.

Unless expressly agreed otherwise, Metrici retains ownership of its pre-existing technology, generic components, frameworks, libraries, algorithms, methodologies, tools, AI technology and know-how.

Payment for customized development does not automatically transfer ownership of Metrici's underlying technology.

21.Intellectual Property

All Metrici intellectual property remains the property of Metrici or its applicable licensors.

This includes:

  • software;
  • source code;
  • object code;
  • AI models;
  • algorithms;
  • documentation;
  • designs;
  • interfaces;
  • trademarks;
  • logos;
  • graphics;
  • technical concepts;
  • methodologies;
  • know-how; and
  • other proprietary materials.

The Customer may not use Metrici trademarks or branding in a way that suggests an unauthorized partnership, endorsement or ownership relationship.

22.Customer Materials

The Customer represents that it has the necessary rights to provide data, images, video, documents, software, configurations and other materials supplied to Metrici.

The Customer is responsible for ensuring that such materials do not infringe third-party rights or violate applicable law.

23.Fees and Payment

Prices, payment schedules, taxes, delivery charges and other commercial conditions are determined by the applicable quotation, order, invoice or agreement.

Unless otherwise agreed, invoices are payable within the period stated on the invoice.

Late payment may result in applicable interest, suspension of services or other remedies permitted by law and contract.

24.Delivery and Acceptance

Hardware delivery, software delivery, installation and acceptance conditions may be defined in the applicable commercial agreement.

Where acceptance testing is agreed, the relevant acceptance criteria and testing procedure shall be specified in writing.

If no specific acceptance procedure is agreed, the Customer shall promptly notify Metrici of any material non-conformity after delivery or commissioning.

25.Warranties

Metrici warrants its products and services to the extent expressly stated in the applicable commercial documentation or warranty terms.

Software warranties generally relate to substantial conformity with the applicable documentation under supported operating conditions.

Hardware warranties apply according to the applicable product warranty.

Mandatory statutory warranties and consumer rights, where applicable, are not excluded by these Terms.

26.Warranty Exclusions

To the extent permitted by law, warranties may not cover problems caused by:

  • misuse;
  • unauthorized modification;
  • improper installation;
  • unsuitable infrastructure;
  • unsupported hardware;
  • unsupported operating systems;
  • third-party modifications;
  • failure to follow documentation;
  • abnormal environmental conditions;
  • physical damage;
  • unauthorized repairs;
  • use outside the purchased configuration; or
  • third-party systems outside Metrici's control.

AI and recognition performance may also be affected by environmental and technical conditions described in Section 7.

27.Availability and Business Continuity

Metrici does not guarantee uninterrupted availability of every website, service, software component, update server, support channel or third-party integration.

Planned maintenance, infrastructure failures, telecommunications problems, cybersecurity incidents, third-party failures and circumstances outside Metrici's reasonable control may affect availability.

Where the Customer operates a locally installed Metrici solution, the software may continue operating independently of Metrici's website or online services to the extent supported by the applicable product.

28.Security

Metrici applies reasonable technical and organizational measures appropriate to the nature of its products and services.

The Customer is responsible for securing its own:

  • network;
  • servers;
  • credentials;
  • operating systems;
  • user accounts;
  • physical infrastructure;
  • firewall configuration;
  • backups; and
  • third-party systems.

Security is a shared responsibility.

29.Prohibited Uses

The Customer must not use Metrici products or services for unlawful purposes.

This includes, where applicable:

  • unlawful surveillance;
  • unlawful interception;
  • unauthorized access;
  • infringement of privacy rights;
  • discrimination prohibited by law;
  • fraud;
  • criminal activity;
  • unauthorized biometric or personal-data processing;
  • circumvention of security controls; or
  • other activity prohibited by applicable law.

The Customer is responsible for determining whether its intended use is lawful.

30.Compliance with Law

The Customer is responsible for complying with all laws and regulations applicable to its deployment and use of Metrici products.

Depending on the use case, this may include requirements relating to:

  • data protection;
  • privacy;
  • video surveillance;
  • employment;
  • access control;
  • payment services;
  • taxation;
  • consumer protection;
  • traffic and parking;
  • cybersecurity;
  • sector-specific regulations; and
  • applicable technical standards.

Metrici does not provide legal advice regarding the Customer's specific deployment.

31.Limitation of Liability

To the maximum extent permitted by applicable law, Metrici shall not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, business opportunities, anticipated savings, data or goodwill, arising from the use of its products or services.

To the maximum extent permitted by law, Metrici's aggregate liability arising from a particular product or service shall not exceed the amount actually paid by the Customer for that product or service during the applicable contractual period or transaction.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

32.Third-Party Services

Metrici products may depend on or integrate with third-party services.

Metrici is not responsible for:

  • third-party outages;
  • changes to third-party APIs;
  • discontinued third-party products;
  • third-party pricing;
  • third-party terms;
  • third-party security incidents; or
  • third-party service limitations,

except to the extent expressly assumed by Metrici in a written agreement.

33.Force Majeure

Metrici shall not be responsible for failure or delay caused by circumstances beyond its reasonable control, including:

  • natural disasters;
  • war;
  • terrorism;
  • civil unrest;
  • governmental actions;
  • epidemics or pandemics;
  • power failures;
  • telecommunications failures;
  • supply-chain disruptions;
  • shortages of components;
  • cybersecurity incidents;
  • infrastructure failures; or
  • other events that could not reasonably have been prevented or overcome.

34.Suspension

Metrici may suspend services where reasonably necessary to:

  • prevent security risks;
  • prevent unlawful use;
  • address material breaches;
  • protect Metrici systems or customers;
  • respond to non-payment; or
  • comply with legal requirements.

Where reasonably possible, Metrici will provide notice before suspension.

Suspension of support or services does not automatically terminate the Customer's perpetual right to use a previously purchased software version, unless termination of that right is expressly permitted by the applicable agreement or required by law.

35.Termination

A specific service agreement may be terminated according to its terms.

Termination of a support, maintenance or upgrade agreement does not, by itself, terminate the Customer's perpetual right to use a previously purchased software version.

However, rights may be affected where the Customer:

  • obtained the software fraudulently;
  • materially breaches applicable usage restrictions;
  • infringes Metrici's intellectual property rights;
  • uses the software unlawfully; or
  • otherwise engages in conduct for which termination is legally permitted.

Nothing in this section is intended to convert a perpetual software purchase into a subscription arrangement.

36.Confidentiality

Each party shall protect confidential information received from the other party and shall use it only for purposes related to the applicable business relationship.

Confidential information does not include information that:

  • is publicly available without breach;
  • was already lawfully known;
  • is independently developed; or
  • is lawfully received from a third party without confidentiality restrictions.

Confidentiality obligations may be supplemented by a separate confidentiality agreement.

37.License and Installation Compliance

Metrici may use reasonable technical mechanisms to verify the purchased configuration of its software.

The purpose of such mechanisms is to ensure that the Customer uses the software within the configuration purchased.

Such mechanisms shall not be interpreted as creating an expiration date for software that has been purchased on a perpetual basis.

A Customer that has purchased a perpetual software version retains its right to use that version even after the included upgrade period has ended, subject to the applicable purchased configuration and these Terms.

38.Export and Sanctions

The Customer shall comply with applicable export-control, sanctions and trade regulations relating to Metrici products and technology.

The Customer shall not use or transfer Metrici products in violation of applicable sanctions or export restrictions.

39.Changes to These Terms

Metrici may update these Terms from time to time.

The version applicable to a particular purchase or contractual relationship shall generally be the version incorporated into the applicable agreement or accepted at the relevant time.

Changes to these Terms shall not retroactively remove perpetual rights that a Customer has validly acquired through a completed software purchase.

40.Governing Law

These Terms shall be governed by the laws of Romania, without regard to conflict-of-law principles.

Subject to mandatory jurisdiction rules, disputes arising from these Terms shall be submitted to the competent courts of Romania.

For commercial Customers, the parties may agree to a different jurisdiction in a separate written agreement.

41.Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

The invalid or unenforceable provision shall be interpreted or replaced to the extent necessary to achieve, as closely as legally possible, its original purpose.

42.No Waiver

Failure by Metrici to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision later.

43.Entire Agreement

These Terms, together with applicable quotations, purchase orders, product documentation, invoices, statements of work, service agreements, warranty terms and other written agreements, constitute the applicable contractual framework between Metrici and the Customer.

Where a specific written agreement expressly conflicts with these Terms, the specific agreement shall prevail for the relevant transaction.
